Regiofy – QR Code & PDF Generation for Review Platforms

1. Scope
1.1 These Terms of Service (“Terms”) govern all contracts between [Your Company Name], [Address], (“Provider”) and the customer (“Customer”) for the use of Regiofy services.
1.2 Regiofy offers the creation of customized digital products, including:
- QR codes for review platforms (Google, TripAdvisor, etc.)
- Personalized PDF documents with company logo, address, and QR code
- Print templates for marketing materials
1.3 Deviating terms from the Customer shall not be recognized unless the Provider expressly agrees in writing.
2. Contract Formation
2.1 The presentation of products in the online shop does not constitute a legally binding offer but an invitation to place an order.
2.2 By clicking the “Place Order” button, the Customer submits a binding offer to purchase.
2.3 The contract is concluded when the Provider accepts the order through an order confirmation email or by providing the service.
3. Service Description
3.1 Customized Products: The Customer enters individual data during the order process (company name, address, review platform, etc.). Based on this information, a personalized digital product is created.
3.2 Automatic Generation: PDF documents and QR codes are generated automatically immediately after payment receipt and made available to the Customer for download.
3.3 Immediate Delivery: After successful payment, the Customer receives immediate access to their digital products via email and in the customer area.
4. Prices and Payment
4.1 All prices include applicable value-added tax (VAT).
4.2 Payment is made through the payment methods offered in the shop (PayPal, credit card, etc.).
4.3 Upon completion of the order, the purchase price is due immediately.
5. Right of Withdrawal and Exclusions
5.1 General Right of Withdrawal
Consumers generally have a 14-day right of withdrawal for distance contracts under EU consumer protection law.
5.2 Exclusion of Withdrawal Right for Customized Digital Content
The right of withdrawal expires for products offered by Regiofy for the following reasons:
a) Custom-Made Products
PDF documents and QR codes are manufactured according to the Customer’s individual specifications (company name, address, selected review platform, design). These products are clearly tailored to the Customer’s personal needs and cannot be resold or reused.
Under EU Directive 2011/83/EU (Article 16(c)) and German law (§ 312g para. 2 no. 1 BGB), the right of withdrawal does not apply to contracts for the supply of goods made to the consumer’s specifications or clearly personalized.
b) Digital Content
Additionally, these are digital contents not supplied on a tangible medium. The right of withdrawal expires when:
- the Customer has expressly agreed that the Provider begins performance before the withdrawal period expires, and
- the Customer has confirmed awareness that consent to immediate performance results in loss of the withdrawal right.
5.3 Consent Before Purchase
Before completing the order, the Customer is required to confirm via a mandatory checkbox:
☐ I expressly consent to the Provider beginning the creation of my customized product immediately. I acknowledge that I will lose my right of withdrawal once the product creation has begun.
This consent is required to complete the purchase.
5.4 Post-Purchase Confirmation
The Customer receives an email confirmation after purchase documenting the waiver of the withdrawal right.
6. Warranty
6.1 Statutory warranty rights apply.
6.2 Defects Liability: If the delivered product is defective (e.g., non-functional QR codes, incorrect data despite correct input), the Customer is entitled to subsequent performance.
6.3 No Defects for Customer Errors: Errors resulting from incorrect information provided by the Customer (e.g., typos in the company name) do not constitute defects.
6.4 The Customer is obligated to inspect products immediately upon receipt for obvious defects and report them within 14 days.
7. Liability
7.1 The Provider is fully liable for intent and gross negligence.
7.2 In cases of slight negligence, the Provider is only liable for breach of material contractual obligations (cardinal obligations). Liability is limited to the foreseeable, contract-typical damage.
7.3 Liability for damages arising from injury to life, body, or health remains unaffected.
7.4 The Provider is not liable for the accuracy of data entered by the Customer.
8. Usage Rights
8.1 Upon full payment, the Customer receives a simple, non-transferable right to use the created digital products.
8.2 Use is limited to the Customer’s own business purposes (e.g., printing, display in business premises, distribution to customers).
8.3 Resale of products or their templates is not permitted.
9. Data Protection
9.1 The Provider processes personal data of the Customer exclusively for contract performance and in accordance with the Privacy Policy.
9.2 Business data entered by the Customer (company name, address) is used for product creation and stored in the order history.
10. Final Provisions
10.1 The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods.
10.2 For EU consumers: Mandatory consumer protection laws of your country of residence remain applicable where they provide greater protection.
10.3 If individual provisions of these Terms are invalid, the validity of the remaining provisions shall remain unaffected.
11. Dispute Resolution
11.1 The European Commission provides a platform for online dispute resolution (ODR): https://ec.europa.eu/consumers/odr
11.2 The Provider is neither willing nor obligated to participate in dispute resolution proceedings before a consumer arbitration board.
